非公开定向融资计划的特点和优势

市场上将在各大金融资产交易中心挂牌发行的各种固定收益类直接融资产品，笼统地称为“私募债”。根据天交所《私募债券业务试点办法》的规定，私募债是指在中国境内依法注册的公司、企业及其他商事主体在中国境内以非公开方式募集和转让，约定在一定期限还本付息的债券。发债主体应当以非公开方式募集债券，每款私募债券的投资者合计不得超过200人。此后，各地方金融资产交易中心推出各自类似的创新产品，并提出相关办法和规定，包括“私募债”、“定向融资计划”、“定向融资工具”、“直融计划/产品”等。

非公开定向融资计划的特点

1、直接融资方式，降低融资成本;

2、采用非公开的方式募集，每期备案的定向融资计划投资者人数不超过200人;

3、采用合格投资者制度，目前需要成为某金交中心会员;

4、起投门槛较低投资者认购金额可以低于100万元，一般10万元起投;

5、方案设计灵活，可做结构化设计，可附选择权等;

6、产品存续期间有适当的信息披露要求;

若融资方违约，债权人如何维权?

如融资方违约，担保方(如有)需要代为偿付或者处置抵质押担保物(如有)进行偿付。受托管理人及备案机构某金交中心，会协助计划投资人向计划发行人维权。定向融资计划的本金及预期年化业绩，由受托管理人跟进执行，备案机构某金交中心会督导。

非公开定向融资的优势

与公开发行方式相比，非公开定向发行的发行、托管结算等基本运行规则并无本质区别，但同时具备了灵活性强、发行相对便利、信息披露要求相对简化、适合客户个性化需求、及有限度流通等特点。同时，定向工具能够更好地满足关系国计民生且信息不便公布企业、规模较小且主体信用评级较低企业、及债务融资规模接近或超过其净资产40%企业等的直接融资需求。
