城投平台承建棚户区改造项目的运作模式

棚户区改造涉及土地的一级、二级开发，政府通常委托企业代为开发建设。目前我国常见的开发模式有委托一级开发、土地出让金折扣、一二级捆绑招标和土地作价入股四种。

1、委托一级开发

在这种模式下，企业只做一级土地开发，将土地开发为熟地后直接移交政府，政府为企业提供资金补偿或土地出让金分成，构成企业利润来源。这种模式对政府而言吸引力较小，因为此时政府所需支付的补偿额较大，且已开发好的土地需再次招拍挂，流程较为繁琐。但对企业而言吸引力较大，开发流程简单，资金需求量小，项目风险较低。

2、土地出让金折扣

在这种模式下，企业完成土地一级开发后，政府承诺在土地二级市场给予企业一定的出让金折扣。企业的利润来源主要是二级市场拿地时的成本降低，同时加上二级开发带来的收益。这种模式对政府而言，对项目有一定控制力，投入少，但仍需土地招拍挂流程。而对企业而言，参与流程繁琐，初始投入较大。

3、一、二级捆绑招标

在这种模式下，政府将项目的一、二级开发权打包交给同一家企业完成，政府与企业谈判确定一个收益率范围，超额收益政企共享。企业的利润来源主要为二级开发的收益。若采用这种模式，政府几乎无投入，省事且能够获得一定收益，但项目可控性差。而企业的资金需求量较大，项目周期长，资金链易断裂。

4、土地作价入股

在这种模式下，政府将项目土地价值折算入股，参与到项目股权结构中。企业的利润来源主要为二级开发的收益。这种模式中政府对项目的参与度和控制力强，投入少。企业的风险主要在于与政府的沟通成本大，且政府可能有一定的违约风险。
