信托新规发布,严管“非标融资”

2020年5月8日，银保监会发布《信托公司资金信托管理暂行办法（征求意见稿）》（以下简称信托新规）。这标志着，在资管新规发布后，信托新规也“靴子落地”。信托新规在延续资管新规的同时，也结合了近期监管要求的保护投资者等相关政策。可以说，信托新规的落地，让信托变得清晰化、和规范化。未来的信托投融资业务也变得有序。

一、明确信托定义

征求意见稿中提到：

本办法所称资金信托业务，是指信托公司作为受托人，按照投资者的意愿，以信托财产保值增值为主要信托服务内容，将投资者交付的资金进行管理、运用、处分的信托业务活动。

本办法所称资金信托，是指信托公司接受投资者以其合法所有的资金设立信托，按照信托文件的约定对信托财产进行管理、运用或者处分，按照实际投资收益情况支付信托利益，到期分配剩余信托财产的资产管理产品。资金信托应当为自益型信托，委托人和受益人为同一人，本办法统称投资者。信托受益权出现转让、继承等依法变更情形的，投资者随之变更。

二、对非标债权的管理加强

一是限制投资非标债权资产的比例。明确全部集合资金信托投资于非标债权资产的合计金额在任何时点均不得超过全部集合资金信托合计实收信托的50%。

二是限制非标债权集中度。全部集合资金信托投资于同一融资人及其关联方的非标债权资产的合计金额不得超过信托公司净资产的30%。

三是限制期限错配。要求投资非标债权资产的资金信托必须为封闭式，且非标债权类资产的终止日不得晚于资金信托到期日。

四是限制非标债权资产类型。除在经国务院同意设立的交易市场交易的标准化债权类资产之外的其他债权类资产均为非标债权。明确资金信托不得投资商业银行信贷资产，不得投向限制性行业。

进元财富认为值得一提是，在去刚兑的大背景下，信托依然是要求投资者风险自担。新规中明确提到：机构和个人投资资金信托，应当自担投资风险并获得信托利益或者承担损失。信托公司不得以任何方式向投资者承诺本金不受损失或者承诺最低收益。双向的要求：第一，投资者要自行承担损失。第二、信托公司不能兜底，并且在宣传上不能承诺最低收益。
