银保监会就《信托公司资金信托管理暂行办法》公开征求意见 资金信托将回归私募资管产

资金信托正逐步回归“卖者尽责、买者自负”的私募资管产品本源，备受信托业关注的《信托公司资金信托管理暂行办法(征求意见稿)》(下称《暂行办法》)昨日发布。《暂行办法》由银保监会研究起草，共计5章30条，对信托公司的投资者适当性管理、资金信托期限管理、投资非标债权资产的管理及资金信托事前报告等问题均作出明确规范，旨在发展有直接融资特点的资金信托。

　　沪上一名资深信托研究员表示，《暂行办法》最大变化在于8个方面。

　一是明确了适用范围，即以财产保值增值为主要服务内容的资金信托，但是不包含服务信托和慈善信托，此前缺少明确监管要求的单一资金信托也被纳入资金信托范围内。

　　二是明确资金信托的私募资管业务性质。《暂行办法》第二章第八条要求资金信托必须面向合格投资者以非公开方式募集，且投资者不能超过200人。

　　三是对资金信托销售提出更严格要求，有助于进一步保护投资者权益。

　　四是加强投资集中度的管理。《暂行办法》对信托公司每只集合资金信托持有单一上市公司股票比例、同一信托公司所有资金信托持有的单一上市股票比例、信托公司所有集合资金计划投资于同一融资人的非标债权类资产比例等都进行了规范，以进一步防范风险敞口过大。

　　五是加强关联交易管理，有效控制因关联交易引发的风险。

　　六是放开信托公司的回购业务。《暂行办法》规定，信托公司开展固定收益类证券投资资金信托业务可以进行回购交易，此前这类交易是被禁止的。

　　七是要求对资金信托进行净值化管理。信托公司应建立资金信托净值管理制度和信息系统，准确、及时反映信托财产管理情况，并定期进行披露。有业内人士认为，净值化管理的加速，为打破刚兑提供了条件。

　　八是强化资金信托资产质量监测。《暂行办法》要求信托公司对承担信用风险的资金信托财产进行分类管理，进行压力测试，并根据风险向表内传导的可能性，确认预计负债。

　　“此次办法实行后，资金信托在监管政策上进一步与其他资管产品看齐，因此信托公司需要尽快加大证券投资及服务信托等业务领域的拓展力度。”一位信托业观察人士表示。
