中信信托南京世茂项目进展：将再次召集持有人大会！

       4月15日，上海世茂股份有限公司关于“中信信托-南京世茂希尔顿酒店资产支持专项计划”的进展公告。具体如下：


       世茂股份下属子公司南京世茂新里程置业有限公司（以下简称“项目公司”）通过中信信托有限责任公司（简称“管理人”）于2020年4月10日依法设立了“中信信托-南京世茂希尔顿酒店资产支持专项计划”（简称“专项计划”），专项计划共募集资金7.1亿元，预计到期日为2038年4月10日，其中：优先级资产支持证券持有人（以下简称：持有人）认购7亿元，次级资产支持证券持有人认购0.1亿元。


       在2023年首个开放退出登记期内，优先级资产支持证券持有人均已申请开放退出并进行开放退出登记，份额合计为7,000,000份，金额合计为7亿元。随后，公司积极与持有人沟通专项计划后续安排，以期达成各方均可接受的方案。


       根据管理人通知，原定于2023年4月3日召集持有人大会，审议将首次开放退出行权日由2023年4月10日调整至2026年4月10日，并“增加对强制执行公证的条款”等事项。但因参会人数未达到《专项计划说明书》中约定的人数，无法形成决议。


       因过去几年酒店运营收入未达预期，项目公司未能于2023年4月10日偿付本资产支持证券的退出款，但已将到期利息支付至相关指定账户备付。


       世茂股份及管理人正在积极协调各相关方制定方案，近期将再次召集持有人大会，就专项计划后续安排进行讨论并表决。


       近年，世茂股份销售大幅下滑，融资依旧艰难，偿债压力较大。今年以来，项目公司经营环境有所改善，商旅市场也有复苏迹象，但酒店经营仍需一段时间稳定客源，以修复现金流。该专项计划底层资产经营情况正常，预计本次事件不会对公司造成重大不利影响，不会对本公司的公司债券的兑付安排产生重大不利影响。


       世茂股份将与持有人进一步磋商，达成各方可接受的方案，做好后续安排的制定与落实，保障和维护投资者合法权益。
